§ 1 Scope

These General Terms and Conditions apply to all contracts for the purchase of domain names concluded via this website between the provider named in the legal notice (https://www.codemec.com/?imp) (“Seller”) and the buyer. Deviating terms of the buyer are not accepted.

§ 2 Subject matter

The subject of the contract is the transfer of the domain name solvanu.de offered on this website to the buyer or to a registrar designated by the buyer. The domain is transferred in the condition it is in when the contract is concluded. Website content, trademarks or other rights are not part of the contract.

§ 3 Conclusion of contract

The presentation of the domain on this website is not a legally binding offer. By submitting the order form and completing payment, the buyer makes an offer to conclude a purchase contract. The contract is only concluded upon express acceptance by the Seller, either by an acceptance confirmation by email or by initiating the domain transfer. Payment alone, an automatic payment or receipt confirmation and mere silence do not constitute acceptance. The Seller may decline the offer without giving reasons; in that case the amount paid is refunded in full via PayPal without delay and the buyer has no further claims. As long as the Seller has not accepted the offer, the buyer may withdraw the order at any time informally and receives a full refund.

§ 4 Price and payment

The purchase price is 199,00 € including 19% VAT. Payment is made in advance via PayPal. The Seller charges no further costs. Any fees of the buyer’s registrar are borne by the buyer.

§ 5 Transfer

After conclusion of the contract, the Seller initiates the transfer (auth code or push). The buyer shall cooperate, in particular by naming a registrar and completing the transfer. Upon successful transfer, responsibility for the domain, including renewal fees, passes to the buyer. The Seller is not liable for technical problems or circumstances beyond its control, in particular if the domain is no longer available or cannot be transferred, e.g. due to expiry, deletion, locking or decisions of the registry or a registrar, or for disruptions at registrars, registries or payment providers. If the transfer is impossible for such reasons, the Seller may withdraw from the contract and refunds the amount paid in full; further claims of the buyer are excluded unless § 7 sentence 3 applies.

§ 6 Right of withdrawal for consumers

Consumers have a statutory right of withdrawal of 14 days from conclusion of the contract. Withdrawal must be declared by an unequivocal statement to the contact details given in the legal notice (https://www.codemec.com/?imp) without giving reasons. In the event of withdrawal, the Seller refunds all payments within 14 days using the original payment method. The right of withdrawal expires early if the Seller has fully performed the service and the consumer expressly agreed, before performance began, that performance may start before the end of the withdrawal period and acknowledged losing the right of withdrawal upon full performance (Section 356(4) German Civil Code).

§ 7 Warranty and liability

The Seller warrants being entitled to dispose of the domain. No warranty is given for any particular commercial usability, search engine ranking or freedom from third-party rights regarding the use intended by the buyer. The Seller is liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence, the Seller is liable only for breach of essential contractual obligations, limited to the typical foreseeable damage and at most to the purchase price.

§ 8 Use by the buyer

After the transfer, the buyer is solely responsible for the lawful use of the domain, in particular regarding third-party trademark and name rights.

§ 9 Data protection

The data entered in the order form is processed solely to perform the contract (domain transfer, invoicing) (Art. 6(1)(b) GDPR) and stored according to statutory retention obligations. Payment data is shared with PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg. This website only sets one technically necessary cookie to remember the language choice. § 10 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; for consumers only insofar as this does not deprive them of mandatory protection under the law of their habitual residence. If the buyer is a merchant, the place of jurisdiction is the Seller’s registered office. The Seller is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
